Terms and Conditions

Please read these terms carefully before using our platform.

Welcome to Rabta (referred to as "Rabta," "we," "us," or "our"), a product owned by Trego Tech.com. These Terms and Conditions of Use ("T&Cs") govern your access to and use of our services, including our website, mobile application, and any related platforms (collectively, the "Platform"). By accessing or using our Platform, you agree to comply with these T&Cs. If you do not agree with these terms, please refrain from using our services.

1. Introduction

These T&Cs, along with our Privacy Policy, constitute a legally binding agreement between you and Rabta. They apply to all users of our Platform, including guests and registered account holders. By using our services, you acknowledge that you have read, understood, and agreed to these terms.

2. Definitions

  • We, Us, Our:Refer to Rabta and its affiliates, a product owned by Trego Tech.com.
  • You, Your:Refers to the user of our Platform, an individual or a business entity.
  • Sellers or Shops:Businesses and individuals who use the Platform to manage their e-commerce operations.
  • Marketplace:Third-party e-commerce sites (e.g., Amazon, eBay, Noon) whose services are managed through our Platform.
  • Platform:Rabta's website, mobile application, and any related services.
  • Service Fees:Fees charged by Rabta for using our Platform, including subscription, transaction, and other service-related fees.
  • Account:A set of resources in the Rabta IT system, marked by an individual name (e-mail address) and password, providing the User with access to the System.
  • System:Software in the SaaS (Software as a Service) model made available to the User by Rabta, intended to support online sales conducted by the User through various sales channels.
  • External Service Provider:A provider of an external service offered or made available to the User and integrated with the System, such as an online platform (marketplace), shipping company, ERP system, or accounting system.
  • Technical Support:An electronic service provided by Rabta remotely to handle the User's requests regarding the use of the System.

3. Eligibility and Account Registration

  • By creating an account, you represent that you are an entrepreneur with the legal capacity to enter into a binding agreement. You also confirm that your use of the Platform is for professional purposes, excluding consumer rights.

  • You must provide real, accurate, and up-to-date data in your Account and promptly update it in case of any changes.

  • You are responsible for maintaining the confidentiality and security of your Account credentials. You must not share your login information with any other person.

  • You must immediately notify us of any suspected or identified unauthorized access to your Account.

4. Services Provided

Rabta is an e-commerce management platform designed to help Sellers in the MENA region manage their online shops and marketplaces. Our services include, but are not limited to:

  • Multi-channel management

    Centralizing order, product, and inventory management across various marketplaces and online shops.

  • Order processing and automation

    Streamlining order fulfillment, shipping, and customer communication using automated actions and fulfillment assistants.

  • Inventory and Product Management

    Managing product listings, stock levels, and data synchronization across all integrated channels.

  • Integrations

    Connecting with third-party marketplaces, shipping carriers, and accounting software.

  • Analytics and Reporting

    Providing data and insights into sales performance.

  • Technical Support

    Offering assistance and guidance for the use of the System.

  • Implementation Services

    Providing implementation and configuration work for your Account or training on how to use the System.

5. User Responsibilities

  • You must use the System and Electronic Services in a manner that is in accordance with applicable laws and good business practices.

  • You are solely responsible for how the System is used and for all actions and omissions of your own and the persons to whom you have granted access to the Account.

  • You must not upload or transfer any unlawful content on the Platform, including content that violates the intellectual property rights of third parties.

  • You agree not to interfere with the proper functioning of the Platform or attempt to breach its security.

6. Service Fees and Payment

  • The fees for our services are detailed in our pricing plan. By subscribing, you agree to pay all applicable fees, which are given at a net rate to which VAT must be added.

  • The fees do not include or cover the costs of using external solutions, such as those from third-party marketplaces or payment providers.

  • Rabta reserves the right to change the rates and the basis for determining Fees at its discretion.

  • You are obligated to pay all due Fees within 14 days after the end of each billing period.

  • In the event of a delay in payment, Rabta has the right to charge interest at the maximum statutory rate.

  • You are not entitled to set off, withhold, or suspend payments of amounts due.

7. Intellectual Property

  • The Platform, including its software, design, content, and all intellectual property rights, is the exclusive property of Rabta or third parties who have granted us the relevant authorization.

  • Rabta grants you a territorially unlimited, non-exclusive license to use the System for its intended purpose, without the right to grant further licenses.

  • You retain ownership of the content you upload, but you grant Rabta a non-exclusive, worldwide, royalty-free license to use, display, and distribute this content for the sole purpose of providing and promoting the Service.

8. Disclaimers and Limitation of Liability

  • Rabta provides the Platform on an \"as-is\" and \"as-available\" basis. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

  • Rabta is not responsible for the actions or inactions of third-party marketplaces, payment processors, or shipping carriers.

  • Rabta is only liable for damages caused intentionally by the non-performance or improper performance of the Electronic Service. Our liability excludes lost profits and indirect damages, such as the costs of legal advice or data loss.

  • To the maximum extent permitted by law, Rabta's total liability to you for any claim shall not exceed the amount of the last subscription payment you made in the billing period preceding the notification of the damage.

  • Rabta is not responsible for damages resulting from a force majeure event.

9. Indemnification

You agree to indemnify and hold Rabta, its affiliates, and their respective directors, officers, and employees harmless from any and all claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these T&Cs, or your infringement of any third-party rights.

10. Termination

  • Rabta reserves the right to suspend or terminate your Account at any time, with or without cause, if you violate these T&Cs or for any other reason.

  • You may initiate the deletion of your Account at any time by contacting our Technical Support. Deleting the Account is considered a termination of this Agreement with immediate effect.

11. Governing Law and Dispute Resolution

  • These T&Cs are governed by and construed in accordance with the laws.

  • The competent court for resolving any disputes between Rabta and the User is the court of local jurisdiction for Rabta's seat.

12. Force Majeure

Rabta shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, government actions, or internet outages.

13. Entire Agreement

These Terms and Conditions, along with our Privacy Policy, constitute the entire agreement between you and Rabta regarding the use of the Platform. Any prior agreements or understandings are superseded by these Terms and Conditions.

14. Privacy and Data Processing

  • Rabta processes personal data in accordance with its Privacy Policy and applicable data protection laws.

  • By using the Platform, you entrust Rabta with the processing of data entered into the System for the sole purpose of providing the Services.

  • Rabta may use aggregated and anonymized data for analytical and statistical purposes. Such data will not identify individual Users or their customers.

  • You remain the controller of personal data relating to your customers. Rabta acts solely as a processor, processing such data only on your documented instructions.

  • Upon termination of your Account, Rabta will delete or anonymize the data entrusted to it, unless applicable law requires further storage.

15. Suspension of Accounts

  • Rabta may suspend or restrict your access to the Platform in the following cases:

  1. 1. Delay or failure to pay Fees;
  2. 2. Provision of false, misleading, or incomplete information in your Account;
  3. 3. Suspected unauthorized access or security breaches;
  4. 4. Violation of these T&Cs, applicable law, or third-party rights;
  5. 5. Excessive or abnormal use of the System that threatens its stability.
  • During suspension, data flow may be stopped, and access to certain features may be limited. Suspension does not delete your Account or data.

  • If the grounds for suspension are not remedied within a reasonable period, Rabta may terminate the Account in accordance with Section 10.

16. Beta Features and Maintenance

  • Rabta may make certain features or modules available in a Beta version. Beta features are experimental, provided on an \"as-is\" basis, and may contain defects, reduced functionality, or be removed at any time.

  • Rabta is not responsible for errors, losses, or damages arising from the use of Beta features.

  • Rabta may carry out scheduled or emergency maintenance of the Platform, which may temporarily limit or suspend access. Rabta will use reasonable efforts to inform Users in advance of planned maintenance.

  • Periods of suspension or limited functionality due to maintenance do not entitle Users to compensation or fee reductions.
